Governance and Nominating Committee Based on Board policy, the terms of reference of the Governance and Nominating Committee are: To oversee the recruitment process for external Board vacancies and recommend potential appointments, following the processes outlined in relevant Ministry Binding Policy Directives and Board policies. Prior to launching recruitment, the Committee reviews the Board’s skills matrix to identify needs and ensure alignment. To oversee the reappointment process for External Governors, following the process established in Board policy. To ensure the election of the Chair and Vice Chair of the Board occurs in accordance with Board policy. To oversee the implementation of the procedures set out in By-law No. 4 governing the election of Internal Governors and to serve as the Electoral Committee during an election. To annually recommend the membership of the Board’s committees, considering factors such as skills and experience, succession and leadership development, and expressed preferences. To review each Board by-law and policy at least once every five years and more frequently where required by policy, legislation, directives, regulations, or other circumstances. To plan the annual Board retreat. To support the Board’s mentorship program. To consider and recommend the attendance of Governors at relevant sector conferences, education sessions, and training opportunities. To review matters referred to it by the Board to help ensure governance practices remain effective. Meetings The Governance and Nominating Committee meets a minimum of four times each year and may meet more frequently as required. Meetings are held in two parts: a public session and an in-camera session. Members of the public may attend the public portion of Governance and Nominating Committee meetings.
